Wholesale Terms of Service
Introduction and Acceptance
By submitting a wholesale application or placing an order, the Buyer agrees to these Wholesale Terms of Service (“Terms”). These Terms govern all purchases of Guajii Design products (“Goods”) and are intended to support a long-term, collaborative relationship between Guajii and its wholesale partners.
1. Minimum Order Value
The minimum wholesale order value is €300.
2. Orders and Payment
Orders may be placed via the wholesale portal or by written confirmation. An electronic invoice issued by Guajii constitutes the sales contract.
Orders become binding once confirmed by Guajii via email. Where possible, reasonable changes requested within 24 hours of confirmation will be accommodated.
Payment is due at the time of order unless otherwise agreed in writing. Accepted payment methods include bank transfer, credit card, and PayPal.
If Guajii must cancel an order due to stock shortages or other legitimate business reasons, the Buyer will be notified promptly and offered alternatives, store credit, or a refund.
3. Duties, Taxes, and Import/Export
For deliveries outside the Netherlands, the Buyer is responsible for all applicable taxes, duties, customs clearance, and import documentation unless otherwise agreed in writing.
4. Resale, Marketplaces, and Pricing
Goods are sold for resale by the Buyer in the course of trade only.
Buyers are encouraged to maintain consistent brand presentation and must use the Guajii brand name and approved imagery when promoting products.
Guajii provides a recommended retail price (RRP) for guidance. The RRP is non-binding; Buyers remain free to set their own retail prices.
Sales via third-party marketplaces (including but not limited to Amazon, eBay, and Bol.com) require prior written approval from Guajii. Approvals are granted on a case-by-case basis to protect brand image and product integrity.
5. Shipping and Delivery
For wholesale orders shipped within the EU, Guajii offers complimentary shipping. Orders are typically shipped via DHL, UPS, FedEx, or PostNL, at Guajii’s discretion. Risk in the Goods passes to the Buyer upon delivery to the carrier, unless otherwise required by applicable law.
For orders shipped outside the EU, the Buyer is responsible for transportation costs unless otherwise agreed in writing. The Buyer is also responsible for all import duties, taxes, customs clearance, and related charges. Guajii recommends that the Buyer arrange appropriate shipment insurance.
Free shipping promotions and retail discount offers do not apply to wholesale orders unless expressly confirmed in writing by Guajii.
6. Inspection, Defects, and Returns
The Buyer must inspect Goods upon receipt and notify Guajii of any visible defects, shortages, or incorrect items within 7 days. Hidden defects must be reported promptly after discovery.
Wholesale orders are generally non-returnable. If an item is defective or not as described, Guajii may, at its discretion, replace the item, offer an exchange, or provide a pro-rated credit.
Any return must be agreed upon within 7 days of reporting and items must be unused, in original packaging, and with all tags attached.
7. Modifications
Goods that have been washed, altered, or otherwise modified by the Buyer are not eligible for return or exchange. The Buyer assumes full responsibility for any modifications.
8. Samples and Product Representation
Guajii may provide product images and samples for merchandising guidance. Actual Goods may vary slightly due to production processes.
Buyers must use only approved product images and brand assets supplied by Guajii.
9. Intellectual Property and Brand Use
Guajii grants the Buyer a limited, non-exclusive, non-transferable license to use the Guajii name, logo, and approved materials solely for the purpose of marketing and selling the Goods.
The Buyer must not use Guajii trademarks in any manner that could harm the brand. Paid advertising or co-branding initiatives require prior written approval.
10. Liability and Warranties
Guajii’s liability for direct damage caused by defective Goods is limited, at Guajii’s discretion, to repair, replacement, or refund of the affected Goods. This limitation is subject to mandatory applicable law.
Guajii is not liable for damage resulting from alteration, misuse, or failure to follow instructions, nor for indirect, consequential, or business interruption losses.
11. Force Majeure
Guajii is not liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, strikes, public health emergencies, or supplier failures. In such cases, delivery timelines may be adjusted and both parties will cooperate to minimize disruption.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Netherlands. The parties will first attempt to resolve disputes amicably. If no resolution is reached within 30 days, the parties may proceed to mediation.
If mediation fails, disputes may be submitted to binding arbitration in the Netherlands or to the competent Dutch courts, if mutually agreed.
13. Changes to Terms
Guajii reserves the right to update these Terms from time to time. Updated Terms apply only to orders placed after the effective date and will be communicated in advance where practicable.
